Stock Purchase Plan
Wisconsin Energy Corporation (WEC) offers you the opportunity to participate in the Stock Plus Investment Plan, a convenient and low-cost stock purchase and dividend reinvestment plan available to new investors for making initial WEC common stock investments and to current shareholders for increasing their WEC common stock holdings.

The plan offers:

  • A convenient way to increase your ownership over time by reinvesting dividends.
  • The opportunity to buy additional shares through optional cash investments.
  • A way to make automatic monthly investments electronically.
  • Safekeeping of stock certificates.
  • Low-cost sale of plan shares.
  • Easy internet account access.
  • Simplified record keeping through account statements mailed to participants.

To participate in Stock Plus, you must either be a registered stockholder or make an initial investment of at least $250. Subsequent investments may be as little as $25. Please review the complete prospectus for additional information and terms, and review Appendix A to the prospectus for fees and limitations. Any stock offering will be made only by prospectus. Investment Timing
Investments are made on the first and 15th of each month, adjusted for weekends and holidays. Investments are generally completed in one day, but may take longer, depending on market conditions. Money to be invested must be received by the transfer agent at least two days before the investment date. Shares may be purchased on the open market or may be new shares issued by the company.

Puchase Prices
Purchases will be aggregated and participants will be charged the average of the actual purchase prices for shares purchased on the market. For new shares purchased from the company, the price will be the average of the high and low trading prices on the investment date as reported on the New York Stock Exchange Consolidated Tape.

Dividend Reinvestment
Dividends on shares held in the plan are reinvested automatically. However, you may request that all or a portion of the dividends be paid to you in cash instead. This may take the form of a dividend check mailed to you or an electronic deposit to your designated bank account.

Custodian Accounts
Stock Plus accounts may be set up for a minor child. Certain registrations guidelines apply. Sample registrations are shown on the enrollment form.
