At every regularly scheduled Board meeting, non-management directors, without any management present, have the opportunity to meet in executive session. All non-management directors are independent. The chair of the Corporate Governance Committee presides at these sessions. Any stockholder wishing to communicate with the presiding director or the other non-management directors regarding the Company may provide correspondence to the directors in care of the Corporate Secretary, Susan H. Martin, at the Company's principal executive offices, 231 West Michigan Street, P.O. Box 1331, Milwaukee, WI 53201. The Corporate Secretary will directly inform such directors of these communications.

The non-management directors also meet in executive session with the Chairman of the Board on an as-needed basis.
